TERMS AND CONDITIONS
The maintenance agreement entitles you to free email support and free minor and major releases which include bug fixes, performance improvements and new features for the duration of the agreement.
SCOPE
Technical support is limited to the reporting and correction of product defects and installation and configuration assistance. All Updates & Upgrades (bug fixes, maintenance releases, and new feature versions) are included; any optional plug-ins, add-ons, and new product offerings are not included with this Agreement. Only the current version and the previous version of are supported.
TERM
The agreement starts from the purchase date and terminates after exactly one year unless otherwise stated in the sales confirmation email or unless terminated sooner by the purchase of a replacement maintenance agreement, which may occur if you purchase additional users or renew the maintenance agreement before the expiry date of this agreement.
If you renew this maintenance agreement before it expires then a new agreement will replace this agreement but the duration of the new agreement will be increased from to include the number of days remaining on this agreement.
If you purchase additional users for your license during the term of this maintenance agreement, a new maintenance agreement will be issued to replace this agreement. The new agreement will start on the date of purchase and will run for a period of time, which depends upon the number of additional users purchased, the number of existing users and how much of this maintenance agreement has elapsed at the point of purchase. The equation for calculating the duration of the replacement agreement is as follows:
new_duration = (d * e) / (n + e)
where:-
d = days remaining on existing agreement
n = number of new users purchased
e = number of existing users
NON TRANSFERABLE
This Agreement cannot be transferred or assigned. It only applies to the specific covered product(s) duly licensed from Softalk or an authorized Softalk reseller.
THIRD PARTY PRODUCTS
This Agreement does not cover third party applications, hardware, or use of Softalk software in unsupported environments.
LIMITATION OF LIABILITY
Softalk's cumulative liability to you or any other party for any loss or damages resulting from any claims, demands or actions arising out of or relating to this Agreement shall not exceed the amount paid to Softalk for this Agreement.
